Training Program

1. ICLS Induction Training Programme


The ICLS Academy, located at Manesar Campus of Indian Institute of Corporate Affairs(IICA), has been entrusted with the responsibility for conducting the Induction Training for the Probationary Officers (POs) belonging to the Indian Corporate Law Service (ICLS). The POs of ICLS, recruited through the Civil Services Examination conducted by UPSC, join ICLS Academy every year in December after completion of three months Foundation course at other Academies. The POs join the different offices under the Ministry of Corporate Affairs on completion of their induction training. Presently the duration of the Induction Training is for 10 months.

Programme Objectives:


The induction training has been designed so as to provide requisite expertise in Corporate Laws and a basic understanding of all related subjects. This induction training enables the POs to acquire the knowledge and skills they need to perform their duties effectively and efficiently as corporate regulators immediately on their posting. The training seeks to achieve the following objectives:-


  • To enable the POs to understand the strategic vision and objectives of the Ministry of Corporate Affairs
  • To enable the POs to understand the emerging trends in Corporate Governance.
  • To impart in depth knowledge in Companies Act, 1956, Companies Act, 2013, Limited Liability Partnership Act, 2008 and allied corporate laws.
  • To impart working knowledge of other relevant laws including Contract Act, Information Technology Act, Civil Procedure Code, Criminal Procedure Code, Indian Penal Code, Evidence Act, Negotiable Instruments Act, Sales of Goods Act, Indian Stamp Act etc.
  • To impart a working knowledge of other relevant law, Accounting and Financial Management, Office Administration, and Communication and Interpersonal skills.
  • To provide technical knowledge in the field of Information Technology with specific reference to the use of MCA-21 and Digital Forensic and Information Security.
  • To enable them to understand the broad feature of public policy formulation and also to enable them to understand the ways and means of performing administrative functions expected to be performed by them.
  • To inculcate the spirit of excellence and professionalism in their performance and conduct, to instil values of personal and professional integrity and high degree of probity in public life.

Programme Structure:


The main areas of work in the Indian Corporate Law Service (ICLS) relates to enforcement and regulation of laws inter alia relating to companies including the Companies Act, 1956, Companies Act, 2013 and the Limited Liability Partnership Act, 2008. Keeping in view the requirements of the jobs to be performed by the ICLS officers, the level of understanding of different subjects that will be covered in the training programme has been categorised as:


  • Basic understanding
  • Functional/working knowledge
  • Expert knowledge i.e. in-depth understanding

The training is proposed to be divided into three phases which are a combination of classroom teaching and on the job field training. The duration of each of the three phases can be modified depending on requirement. .Classroom teachings are conducted at the IICA premises at Manesar (Gurgaon). In the field training the POs are attached for their field training to the offices of Registrars of Companies, Official Liquidators, Regional Directors, Company Law Board, Serious Frauds Investigation Office and Ministry of Corporate Affairs. Apart from above they are also given training at ISTM, NIFM, NISM, including SEBI, RBI, BPST and other relevant Institutions.


Assignments:


To facilitate independent thinking and development of research capabilities, the POs are required to submit projects/written assignments on any topic of their choice or from the sample list to be provided by the Institute. These projects are part of the evaluation. Sufficient time is allocated on a weekly basis for purposes of research and writing of assignments/projects. Apart from individual projects, there are group exercises which are meant to develop analytical skills and team-work amongst the POs. For this, groups of 3 to 4 POs are formed and each group is required to make an in-depth study on a chosen topic and furnish a written report under the guidance and supervision of designated faculty members. The report follows by a full presentation before the class.


Faculty:


The Faculty for taking the classes for Training of ICLS officers are selected from the Panel of eminent experts in the field of Corporate Laws, other laws, Finance, Economics, Human Resource Management and Information Technology are invited as guest faculty. The faculties are being changed after receiving the feedback from POs and other trainees so as to suit the environment of training.


Study Material:


Study material in the form of Power Point Presentation by faculties is being made available to the POs. Further POs are supplied with various Text books and materials from the Knowledge Resource Centre of the Institute. They are being provided with various magazines, journals, novels apart from other allied reading materials.


Timings:


Class room teaching commences at 10.00 AM and concludes at 4.30 PM, and consists of four contact sessions i.e. two sessions before lunch and two sessions after lunch. Thus a week of five working days shall comprise of a total of twenty contact sessions.


Evaluation:


Evaluation is based on continuous assessment and term-end written exams, in the ratio of 60 percent and 40 percent respectively. Continuous assessment will be on the basis of assignments, attendance, participation, group activities and other similar criteria. Term-end written examinations are conducted at the end of the 1st and 3rd phases as follows:-


   1st phase – Classroom teaching - 4½ months – December to April
   2nd phase – Field Training - 3 months – May to July
   3rd phase – Class room teaching - 2½ months – August to September

2. Mid Career Reorientation programmes on company law for ICLS officers:


In the cadre of ICLS there are 291 sanctioned posts. These officers are working as Director General, Director Investigation & Inspection, Joint Director, Dy. Director, and Assistant Director in the Ministry of Corporate Affairs. In the office of RD there are posts of Regional Director, Joint Director, Dy. Director, and Assistant Director. In the offices of ROC the structure is consists of Registrar of Companies, Dy. Registrar of Companies, Assistant Registrar of Companies. Likewise in OL offices there are posts as Official Liquidator, Dy. Official Liquidator and Assistant Official Liquidator. The Academy is conducting orientation & training programmes for these officers which may range from one to six weeks to focus on specific professional knowledge and skill areas. The main thrust of the training is on Company Law, Registry functions, Regulations and enforcement of Company Law, Inspection & Investigation under Companies Act, 1956, Companies Act, 2013, E-Governance in Company Regulations, Corporate Management & Governance, Technical Scrutiny of Balance Sheet & Profit & Loss Accounts of Companies, Merger & Amalgamation of Companies, Winding up and dissolution of Companies. The ICLS Academy is conducting four such Training programmes every year i.e. one in each quarter depending upon the requirement by the Ministry.


3. Training Programmes for Staff of group ‘B’ official of field offices:


The Academy also conducts orientation and training programmes for subordinate cadres currently serving across India as part of the field organization of the Ministry of Corporate Affairs. These training programmes of varying duration ranging from one to six weeks focus on specific professional knowledge and skill of the said officials.

The Senior Technical Assistants who are in the Feeder Cadre to ICLS as per the Revised Recruitment Rules effective from August 2012 are required to undergo one month Mandatory training at ICLS Academy within two years of their respective appointments. The ICLS Academy is conducting the said training on regular basis. From January 2013, the ICLS Academy is imparting such training on quarterly basis.


4. Training Programmes for the officers/officials in the offices of Official Liquidator


As per Companies Act, 1956 the Liquidation proceedings are conducted as per the directions of the Hon’ble High Courts to which the office of the Official Liquidator is attached. The Division Bench of Hon’ble High Court of Delhi passed an order on 1st August, 2012, inter alia directing the Ministry of Corporate Affairs and the office of Official Liquidator, Delhi to impart training to all the officers/officials posted in the said office so as to improve the quality of work and avoid delays in finalization of liquidation proceedings. Further proper investigative and Accounting skills of the officers/officials of Official Liquidator offices needs to be upgraded to find out whether the Ex-Directors of the Company in liquidation have misused the funds for their personal benefits

The Ministry of Corporate Affairs also directed that officers/officials in other Official Liquidator offices across the country should also be provided training by the ICLS Academy. In compliance of the said directions, ICLS Academy has developed modules and schedules for the special training to be imparted to the officers/officials of the office of Official Liquidators.

The ICLS Academy has almost completed the training for the officers/officials of OL, Delhi. The training has also been imparted to some of the officers/officials of other OL offices who have been directed by their respective Hon’ble High Courts.


5. Workshop-cum-Training programme of ICLS Officers, on Companies Act, 2013, Rules and
    e- Forms


The Companies Act, 2013 has been notified. Ministry of Corporate Affairs desired that all officers and officials working in the offices of the Regional Director/Registrar of Companies in India are to undergo a two day Workshop-cum-training programme on Companies Act, 2013, Rules and e-forms and related matters at IICA, Manesar. ICLS Academy is conducting the said programmes at IICA, Manesar and has trained about 162 officers/officials till July 2014. There are about 225 officers/officials were to be trained under this programme.



6. Other Activities


Training courses are also organized for other regulatory bodies and special organizations attached to the Ministry of Corporate Affairs. In addition the Institute may also organize training for Public Sector Undertaking who are engaged in corporate field.
